1. Who We Are

FirstRing™ is a service provided by Conduit Catalyst LLC ("Company," "we," "us," or "our"), registered in the State of Mississippi. Our service provides AI-powered voice dispatch and missed-call recovery solutions for home service trade businesses.

2. Services Provided

FirstRing™ provides the following services to business clients ("Clients"):

• AI-powered inbound call answering and job qualification
• Outbound call placement for missed-call recovery and lead follow-up
• Appointment booking and calendar integration
• Call recording, transcription, and reporting
• SMS confirmation and notification services

Services are provided on a subscription basis as described in your service agreement or order form.

3. Eligibility and Account Registration

To use FirstRing™, you must:

• Be a legally registered business operating in the United States
• Be at least 18 years of age
• Provide accurate and complete business information during onboarding
• Comply with all applicable federal, state, and local laws governing telecommunications and business operations

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree to use FirstRing™ only for lawful business purposes. You may not use our services to:

• Place calls to individuals on the National Do Not Call Registry without a prior business relationship or written consent
• Conduct deceptive, fraudulent, or harassing communications
• Violate the Telephone Consumer Protection Act (TCPA), the FTC's Telemarketing Sales Rule, or any applicable state telemarketing laws
• Impersonate any person, business, or government entity
• Transmit spam, malicious content, or unsolicited commercial communications
• Use our services for any illegal or unauthorized purpose

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Telecommunications Compliance

You acknowledge and agree that:

• You are solely responsible for ensuring that all calls placed through FirstRing™ comply with applicable telecommunications laws, including the TCPA and applicable state laws
• You have obtained all necessary consents from call recipients where required by law
• You will maintain records of consent as required by applicable regulations
• You will not use FirstRing™ to place robocalls to consumers without proper consent

Conduit Catalyst LLC is not liable for your failure to comply with applicable telecommunications laws.

6. Call Recording and Consent

FirstRing™ may record calls for quality assurance, transcription, and reporting purposes. You are responsible for ensuring that all parties to recorded calls have been notified and have provided any required consent under applicable state and federal wiretapping and recording laws. Some states require all-party consent for call recording. You agree to comply with all applicable recording consent requirements in your jurisdiction.

7. Fees and Payment

Service fees are as specified in your service agreement or order form. Unless otherwise stated:

• Fees are billed monthly in advance
• All fees are non-refundable except as expressly stated in your service agreement
• We reserve the right to modify pricing with 30 days written notice
• Unpaid invoices may result in service suspension

8. Intellectual Property

All technology, software, algorithms, AI models, branding, and content comprising the FirstRing™ service are the exclusive property of Conduit Catalyst LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the service as described in your service agreement. You may not copy, modify, distribute, sell, or lease any part of our services or software.

9. Data and Privacy

Your use of FirstRing™ is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described in our Privacy Policy.

You retain ownership of your business data and customer data. You grant Conduit Catalyst LLC a limited license to process such data solely for the purpose of providing the services.

10. Disclaimers and Limitation of Liability

THE FIRSTRING™ SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CONDUIT CATALYST LLC DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL CONDUIT CATALYST LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Conduit Catalyst LLC, its members, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any third-party rights.

12. Termination

Either party may terminate the service agreement with 30 days written notice. We may terminate or suspend your account immediately for material breach of these Terms, non-payment, or illegal activity. Upon termination, your right to use the service ceases immediately. Sections 8, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Mississippi, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Mississippi, except that either party may seek injunctive relief in court for intellectual property violations. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the service. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.
